Knox believes that Francis must change his behavior sincerely, but as for now he had "no moral sense: wrong and right are the same to him." Knox addresses his letter to "Gentlemen" and explains that working to improve Penobscot Bay and rivers has left him with considerable debt reaching $8,000 "due to Mr. Thorndike and six thousand dollars to another Gentleman his associate." Knox has arranged a plan of payment that includes Henry Jackson and Benjamin Lincoln endorsing Knox's notes. Knox goes on to describe his lands and how rapidly the population is increasing in the area.

Telling Knox that Isaac Winslow and other family members who are attempting to sell Knox a large share of the Waldo patent cannot give Knox "a clear title" to the land at present. This is because of two issues. The first concerns difficulties related to Winslow's inheritance of the property from Francis Waldo's estate. The second is the fact that one of the relatives now appears unwilling to sell their portion of the estate. However, believes there are ways to rectify these difficulties. The final pages of the letter are missing.
