Reports the letter will be delivered by Captain John Hills, a surveyor working for Knox. Says Hills will be making a "perfect plan" of the Waldo Patent as he recently purchased the interest of the Winslow Family. Plans on spending a great deal of his attention on this property and to reside there. Wants Fales to pass on his knowledge of the patent to Hills, especially of previous surveys done. Will compensate Fales for his troubles.

Unsigned, but handwriting suggests the author is Henry Knox. However, the author mentions Knox in the third person, so it is unclear whether it is Knox writing about himself in the third person, or Knox copied a letter written by another party. Refers to an agreement made with Fales's brother Nathaniel Fales, apparently regarding the upcoming sale of lands in Maine to Isaac Winslow. Also discusses the status of the Flucker estate, to which Knox is an executor.

Writes that he has received a letter "in which you offer to relingquish to me the entire right of the Winslow Families in the muscongus [Waldo] Patent for the Sum of twenty five thousand dollars." States that the $25,000 offered is far more than he expected, since he does not think the land in its present condition is worth the amount but will accept it since he might need it to settle disputes. Introduces Rufus Davenport, a Boston merchant, to Washington. Writes that he, "like myriads of others, cannot die in peace, nor live with satisfaction, until they see you, who has done so much for them and for their Country!" Briefly discusses news regarding his estate in Maine and his family. Unaware of Washington's death on 14 December 1799, Knox closes the letter "I pray fervently that your days on earth may be days of felicity without clouds sickness or sorrow." Discusses their correspondence and friendship, affirming that he feels "the same sublime disinterested friendship for you that has existed in both our bosoms for so long." Also discusses the possible appointment of the French general Charles Tronson du Coudray as commander of artillery, and asserts "no other person shall Supersede me the instant the Congress Confirms his appointment I shall leave the Service." Notes that other officers were making the same threats.

Is happy to hear that Vose is agreeable to him, and feels sure the people (likely citizens of the Waldo patent lands where Vose was hired as an agent) will embrace him. Discusses whether the people will make their payments on time, and the consequences of not doing so. Also discusses many of his concerns about managing the land and paying the appropriate taxes.
