Copy of an agreement between Henry Knox, Benjamin Lincoln, Henry Jackson, and Thomas Lindall Winthrop. Knox, Lincoln, and Jackson agree to pay Winthrop debts due from land sales. Payment is preferred "in specie to the said Land." A postscript dated August 4, 1800 on the document mentions another illegible agreement made with someone else.

Had decided to follow the plan Knox was kind enough to arrange for him, determined to go to Louisiana, and declined an opportunity at a school. However, the letter from Winslow suggested Knox might not be in favor of the plan after all, and Winslow suggested he go to New York to consult with several sponsors of the expedition. Desires to buy the share because he wishes to consilidate the entire patent under one owner, making it more valuable, easier to manage, and better equiped to handle disputed claims over property. Also wants to make sure he owns the property outright, without any other debts or claims on it, othewise may not go through with the deal. Offering ten thousand dollars up front and ten thousand more a year later for the full share. Gives Winslow sixty days to accept or reject his offer.

Includes a 29 September 1801 note written by Minot, Justice of the Peace in Suffolk County, Massachusetts, attesting that Winthrop's statement was a "free act & deed." Judgment was granted in Winthrop's favor to obtain money owed to him by Knox, Jackson, and Lincoln. Winthrop will accept payment in the form of land. Lucy Knox and Mary Lincoln have relinquished their right of dower.
